Terms of Service
1. Services Provided
BlackCircuit Technologies Inc. provides professional technology services including custom website design and development, AI assistant configuration, digital operations consulting, cybersecurity setup, and bilingual digital launch services. All services are delivered under a written proposal or statement of work agreed upon by both parties.
2. Project Scope
Each project is governed by a written proposal or statement of work that defines deliverables, timeline, payment milestones, and any limitations. Scope changes must be requested in writing and may result in additional charges and revised timelines.
3. Client Responsibilities
Clients are responsible for providing accurate information, required materials (content, images, brand assets), domain or hosting access where applicable, and timely feedback and approvals. Delays caused by the client may affect the project timeline and are not the responsibility of BlackCircuit Technologies.
4. Content Responsibility
Clients are solely responsible for the accuracy, legality, and appropriateness of all content provided for use in their project. BlackCircuit Technologies does not verify or assume responsibility for client-supplied content.
5. Approvals
Client approval is required at designated project milestones before work proceeds to the next phase. Approval may be given in writing via email or through the client portal.
6. Payment Terms
Projects are billed by milestones as defined in the project proposal. A deposit is required before work begins. Final payment is required before launch or final handoff. Invoices are payable within 7 days of issuance unless otherwise agreed in writing.
7. Intellectual Property
Upon receipt of final payment, the client receives ownership of custom deliverables created specifically for their project, excluding third-party tools, frameworks, fonts, plugins, or licensed assets. BlackCircuit Technologies retains the right to display completed work in a portfolio unless the client requests otherwise in writing.
8. Third-Party Tools
Some projects may involve third-party platforms, APIs, or services (e.g., Google Workspace, AI platforms, website hosting providers). Client agrees that use of such tools is subject to the respective provider's terms of service. BlackCircuit Technologies is not responsible for changes, outages, or policies of third-party providers.
9. Limitations of Liability
BlackCircuit Technologies is not liable for lost revenue, business interruption, data loss, or any indirect, incidental, or consequential damages arising from services rendered. The maximum liability of BlackCircuit Technologies for any claim arising out of a project shall not exceed the total fees paid for that specific project.
10. No Guarantees
BlackCircuit Technologies does not guarantee specific outcomes including but not limited to: revenue generation, search engine rankings, lead volume, sales conversion, website traffic, cybersecurity incident prevention, or AI accuracy. Services are designed to improve digital operations and reduce risk but cannot guarantee specific results.
11. Disputes
In the event of a dispute, both parties agree to first attempt resolution through written communication. If unresolved, disputes shall be handled in accordance with applicable law.
12. Governing Law
These terms are governed by the laws of the United States and the state in which BlackCircuit Technologies Inc. is incorporated.
